Professional Services Agreement
This Professional Services Agreement (Agreement) is made and entered into as of 2025 by and between Madison Engineering (Service Provider) and the (Client). This Agreement outlines the terms and conditions under which the Service Provider will deliver services to the Client.
1. Scope of Service: The "Principal Engineering Review" (Session) consists of a 30-minute technical consultation. The information provided is based on the limited data shared during the Session and does not constitute a final peer-reviewed engineering package, stamped drawing, or certified safety audit.
2. Standard of Care: Services will be performed in a manner consistent with that degree of care and skill ordinarily exercised by members of the engineering profession currently practicing under similar circumstances in the Phoenix/Arizona region.
3. Client Reliance: Engineer shall be entitled to rely on the accuracy and completeness of all data, designs, and specifications provided by the Client. Engineer is not responsible for errors or omissions resulting from inaccurate or incomplete information provided by the Client.
4. Limitation of Liability: To the fullest extent permitted by law, the total liability of Engineer to Client for any and all injuries, claims, losses, or damages arising out of this Session shall not exceed the total fee paid by the Client for the Session.
5. Waiver of Consequential Damages: Neither party shall be liable to the other for any indirect, incidental, or consequential damages, including but not limited to loss of profits, loss of use, or business interruption, regardless of the cause of action.
6. Ownership of IP: Any advice, sketches, or verbal recommendations provided during the Session are licensed to the Client for the specific project discussed. The underlying engineering methodologies and "know-how" remain the property of Madison Engineering, LLC.
7. Governing Law: This agreement shall be governed by the laws of the State of Arizona.
